Terms of Service for Invoice App

1. Acceptance of Terms

By accessing or using the Invoice App (the "Service"), you agree to be bound by these Terms of Service. These Terms of Service constitute a legally binding agreement between you and Performing AI LLC, a Washington limited liability company ("Performing AI LLC", "the Company", "We", "Our", "Us"). If you disagree with any part of these terms, you are not authorized to access or utilize the Service.

2. B2B Commercial Use Only

The Service is designed strictly for Business-to-Business (B2B) and commercial use. By using the Service, you represent and warrant that you are acting on behalf of a business, contractor, or freelancer, and are not utilizing the app for personal, family, or household consumer purposes.

3. Subscriptions and Payments

Certain features of the Service require a premium subscription. All subscriptions are processed securely through the Apple App Store or Google Play Store ("App Stores").

  • Auto-Renewal: Subscriptions automatically renew unless canceled in your App Store settings at least 24 hours prior to the end of the current billing period.
  • Cancellations and Refunds: The Company does not handle billing or payment transactions directly. All cancellations, refunds, and payment management must be executed through your respective App Store account settings.

4. User Content and Data Processing

The Service operates as a local-first, offline-capable application. All data you input, including client profiles and invoices, is processed and stored locally on your device's secure storage by default.

You may choose to enable optional secure cloud backup features, which require authentication. The Service supports optional authentication via third-party social providers, including Google, Apple, or Microsoft Sign-in. Enabling backups or utilizing our AI-powered features is entirely optional and is not required to utilize the core invoicing application.

If and only when you explicitly choose to enable cloud backups or utilize our AI-powered features, you grant the Company a worldwide, royalty-free license to host, store, and process this data securely on Microsoft Azure cloud servers for the sole purpose of providing, maintaining, and syncing these optional features for you. Microsoft Azure serves as our secure cloud sub-processor, employing enterprise-level safeguards and redundancy to protect your records.

You act as the "Data Controller" for any third-party or client information you input into the app. The Company acts solely as the "Data Processor." You are exclusively responsible for obtaining all necessary consents and permissions from your clients to process their data within our Service.

5. AI Chatbot and Automation Features

The Service includes optional Artificial Intelligence (AI) features powered by Google's Gemini API ("Gemini AI") designed to automate client communication and provide business insights. If you enable these optional features, you acknowledge and agree to the following terms:

  • AI Sales Agent: This optional feature interacts directly with clients on your public booking page. It does not require enabling cloud backups of your application history, as it operates based on the services, schedules, and deposit terms you explicitly publish to your booking page.
  • AI Business Assistant: This optional internal tool analyzes your financial metrics, expense lists, and invoicing history to generate administrative reports. Because this requires cross-referencing your historical records, you must enable cloud backup and sync to utilize this tool.
  • No Human Review & Hallucinations: All AI outputs are generated automatically without manual human review. While we strive for accuracy, AI models can occasionally generate incorrect, inappropriate, or hallucinated information ("AI Hallucinations").
  • Google Gemini API Terms: These features utilize the Google Gemini API. Your use of these features is subject to Google's applicable API Terms of Service, and you agree to comply with Google's Prohibited Use Policies.
  • Your Liability: You are solely responsible for all interactions, quotes, estimates, financial analyses, and communications made by the AI features to your clients or within your business. We explicitly disclaim any liability for financial loss, tax reporting errors, reputational damage, or contract disputes arising from the AI's outputs.
  • Supervision: It is your responsibility to monitor the AI's outputs and intervene or correct quotes, estimates, or business recommendations when necessary.

6. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company makes no representations or warranties of any kind, express or implied, regarding the accuracy, reliability, or availability of the Service.
